Terms of Use — Pyfone
Original draft for legal review. Written for Pyfone specifically, not adapted from another operator’s terms. The service description and the technical clauses match what the app actually does; the commercial terms, liability caps and consumer-law carve-outs still need counsel — a UK entity serving business customers has obligations this draft only sketches. 1. Who we are
Pyfone is provided by ROVEX TELECOM LTD, a company registered in England and Wales under company number 15946534, registered office 347 Barking Road, London, E13 8EE, United Kingdom (“we”, “us”).
By installing or using the Pyfone application (“the App”) you agree to these terms. If you do not agree, do not use the App.
2. What the service is
Pyfone is a business telephony client. It connects to a private branch exchange (PBX) operated by us or by your organisation, and lets you make and receive voice and video calls, see your organisation’s directory, and exchange messages.
The App is provisioned through an organisation — an employer, or a customer of ours. It is not a standalone consumer telephony service, and it does not by itself provide a public telephone number or a connection to the public telephone network unless your organisation has arranged that separately.
3. Accounts
Your account is created and administered by your organisation. You are responsible for keeping access to your device and your sign-in email secure, and for activity carried out through your account. Tell your administrator immediately if you believe your account has been compromised.
We may suspend an account where required to protect the service, to comply with law, or at the request of the organisation that provisioned it.
4. Emergency calls — important
The App must not be relied on to contact emergency services.
Calls depend on your internet connection, on battery, and on our servers being reachable. Unlike a fixed line, the App cannot reliably convey your physical location to an emergency operator. Always keep a mobile or fixed telephone available for emergency calls. To the extent permitted by law, we accept no liability for any failure to reach emergency services through the App.
5. Acceptable use
You must not use the App to:
- make unlawful, fraudulent, abusive, harassing or deceptive calls or messages;
- send bulk unsolicited calls or messages, or operate an autodialler, without the recipients’ consent and all consents required by law;
- misrepresent the origin of a call, including falsifying caller identification;
- resell, sublicense or provide the service to third parties without our written agreement;
- attempt to interfere with, overload, reverse engineer or gain unauthorised access to the service or its infrastructure, except where such restriction is prohibited by law.
We may suspend or terminate access for a breach of this section.
6. Availability
We aim to keep the service available but do not warrant that it will be uninterrupted or error free. Maintenance, network faults, third-party carriers and your own connection all affect availability. [ADD ANY SERVICE-LEVEL COMMITMENT AGREED WITH BUSINESS CUSTOMERS, OR STATE THAT NONE APPLIES.]
7. Charges
The App itself is provided at no charge. Calls, numbers and PBX services are billed under the agreement between us and the organisation that provisioned your account. [SET OUT BILLING, TAXES AND REFUND TERMS, OR REFER TO THE MASTER SERVICES AGREEMENT.]
8. Intellectual property
The App, its interface and its underlying software are owned by us or our licensors. These terms grant you a personal, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose while your account is active. No other rights are granted.
9. Open-source components
The App includes third-party open-source software, listed with its licences at https://pyfone.com/legal/open-source/. Those components are governed by their own licences, which prevail over these terms in respect of that software.
10. Privacy
Our handling of personal data is described in the Privacy Policy at https://pyfone.com/legal/privacy-policy/, which forms part of these terms.
11. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, and to the extent permitted by law: we are not liable for indirect or consequential loss, loss of profit, revenue, business or data; and our total liability arising out of or in connection with the service is limited to [LIABILITY CAP]. [ADD CONSUMER-LAW CARVE-OUT IF THE APP IS EVER OFFERED TO CONSUMERS RATHER THAN THROUGH BUSINESS CUSTOMERS.]
12. Termination
You may stop using the App at any time by uninstalling it. Your organisation may close your account. On termination your right to use the App ends; data held on your device is removed with the App, and server-side data is handled as described in the Privacy Policy.
13. Changes to these terms
We may update these terms as the service changes. We will revise the date above and, where the change is material, give notice through the App or your organisation. Continued use after a change means you accept it.
14. Governing law
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. [CONFIRM — AND CHECK WHETHER ANY CUSTOMER’S LOCAL MANDATORY LAW OVERRIDES THIS.]
